1. Agreement to Terms

These Terms & Conditions (“Terms”) are a legally binding agreement between you (“you”) and CuFlow [Inc./Ltd.] (“CuFlow,” “Company,” “we,” “us,” or “our”) governing your access to and use of https://www.cuflow.ai and any related web, mobile, or other services (collectively, the “Site” or “Services”).

CuFlow is a [Delaware corporation] with a principal business address in San Francisco, California. By accessing the Site, you confirm that you have read, understood, and agree to be bound by these Terms.

Supplemental terms and conditions or documents that may be posted on the Site from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms and Conditions from time to time. We will alert you about any changes by updating the "Last updated" date of these Terms and Conditions, and you waive any right to receive specific notice of each such change. Please ensure that you check the applicable Terms every time you use our Site so that you understand which Terms apply. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms and Conditions by your continued use of the Site after the date such revised Terms and Conditions are posted.

The information provided on the Site is intended for educational and learning purposes only. The Site is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Site from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

The Site is not tailored to comply with industry-specific regulations (Health Insurance Portability and Accountability Act (HIPAA), Federal Information Security Management Act (FISMA), etc.), so if your interactions would be subjected to such laws, you may not use this Site. You may not use the Site in a way that would violate the Gramm-Leach-Bliley Act (GLBA).

The Site is intended for users who are at least 13 years of age. All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Site. If you are a minor, you must have your parent or guardian read and agree to these Terms and Conditions prior to you using the Site. Free accounts are limited to 5 messages per day with the AI co-pilot and 3 content uploads per week.

2. Intellectual Property Rights

Ownership

Unless otherwise stated, the entire Site—including the AI co-pilot (text/voice), FlowNote generation, learning spaces, summaries, flashcards, quizzes, practice exams, timelines, mind-maps, and all underlying code, models, pipelines, and documentation (collectively, “Content”), as well as our trademarks and logos (the “Marks”)—are owned by or licensed to CuFlow and protected by U.S. and international laws.

Your License

Subject to these Terms and your plan limits, CuFlow grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial learning. You may download or print AI-generated materials for your own study use.

Your Uploads

You retain ownership of documents, audio/video, links, and other materials you upload (“User Content”). You grant CuFlow a worldwide, non-exclusive, royalty-free license to host, process, analyze, transform, and display User Content solely to provide and improve the Services (including model quality, safety, and reliability), subject to applicable law and our Privacy Policy.

Prohibited Uses (without written permission)

Copying, reproducing, publicly displaying, distributing, selling, sublicensing, scraping, or otherwise exploiting the Site, Content, or Marks for commercial purposes; reverse-engineering; or creating derivative services that compete with CuFlow.

We reserve all rights not expressly granted. Unauthorized use may result in account termination and legal action.

3. User Representations

By using the Site, you represent and warrant that:

  1. (1) your registration information is true and current and will be kept updated;
  2. (2) you have capacity to enter these Terms;
  3. (3) you are 13+ and, if a minor, have parental consent;
  4. (4) you will not access the Site via automated/non-human means (bots/scripts) unless expressly permitted;
  5. (5) you will not use the Site for unlawful purposes or in violation of any law.

We may suspend or terminate accounts with inaccurate or fraudulent information.

4. Registration & Account Security

You may need an account to use some features. Keep your credentials confidential. You are responsible for all activities under your account. We may reclaim usernames that are inappropriate or infringing.

5. Fees & Payment

Payments are processed by Stripe or other supported processors. Available methods may vary by country (cards, wallets, bank redirects, BNPL). Prices and features may change with notice posted on the Site or in-product.

  • Plans: CuFlow may offer a Free plan (with usage limits) and Pro/Team plans (enhanced limits, priority support). Current plan details and limits are shown in-product or on our pricing page.
  • Billing: You authorize recurring charges for subscription plans until cancellation. Taxes may apply. All amounts are in U.S. dollars, unless stated oƒherwise.
  • Refunds: Unless otherwise required by law or set out in a posted Refund Policy, subscription payments are non-refundable. CuFlow may offer a 7-day money-back guarantee on first purchases for eligible plans—see our current refund terms on the pricing/checkout page.
  • Student Discounts: Available where offered upon status verification (e.g., .edu email or other proof).

You must keep your account and payment information current.

6. Fulfillment & Service Delivery

The Services are delivered digitally via app.cuflow.ai (or designated endpoints). Upon successful payment:

  • Account access is provided immediately.
  • Paid features activate upon payment confirmation.
  • Processing of uploaded content typically begins automatically.

Service standards (targets, not guarantees):

PDF/document processing, YouTube link analysis, and lecture uploads generally begin within minutes; AI co-pilot responses are real-time; support aims to respond within 1–2 business days. Scheduled maintenance or third-party outages may affect availability.

Cancellation: You may cancel any time via Account Settings. Access to paid features continues through the current billing period. No partial refunds for unused time unless required by law or our posted refund terms.

7. Software

Where downloadable or embedded software is provided, your use is governed by an accompanying EULA. If none, CuFlow grants a limited, revocable, personal license to use the software solely with the Services as-is, without warranties.

8. Prohibited Activities

You agree not to:

  • Harvest or scrape Site data; build competing datasets or services.
  • Interfere with security features; bypass rate limits or usage caps.
  • Upload malware or content that disrupts operations.
  • Misuse support channels; submit false abuse reports.
  • Reverse-engineer or decompile the Services except as allowed by law.
  • Use automated systems (spiders/robots/scrapers) without written consent.
  • Violate any law, third-party rights, or these Terms.
  • Use the Site to compete with CuFlow or for commercial exploitation beyond permitted uses.

9. User Contributions & Community Areas

If the Services allow posting (e.g., discussions, shared spaces), you are responsible for your Contributions and must have rights to the content you share. Do not post illegal, abusive, defamatory, or discriminatory content. We may moderate, remove, re-categorize, or disable Contributions at our discretion. You retain ownership of Contributions, but by posting you grant CuFlow a license to host, display, and distribute them in connection with the Services.

10. Reviews & Feedback

Reviews must reflect first-hand experience and comply with applicable laws and these Terms. By submitting feedback or suggestions, you agree they are non-confidential and CuFlow may use them without obligation to you.

11. Third-Party Services & Links

The Site may link to third-party sites or integrate third-party services (e.g., YouTube). CuFlow is not responsible for third-party content, policies, or purchases. Your use of third-party services is governed by their terms and privacy policies.

12. U.S. Government Rights

The Services are “commercial items” as defined in FAR 2.101 and are provided subject to the rights and restrictions set forth in these Terms and applicable FAR/DFARS provisions.

13. Site Management

We may (but are not obligated to) monitor the Site, investigate violations, limit or terminate access, remove content, or manage the Services to protect rights, property, and proper functioning.

14. Privacy

See our Privacy Policy at https://www.cuflow.ai/privacy. By using the Services, you agree to our data practices and consent to U.S. processing (and other jurisdictions where we or our providers operate).

15. Copyright Complaints (DMCA)

If you believe material on the Site infringes your copyright, contact us at hello@cuflow.ai with a compliant DMCA notice. We may notify the user who posted the material. Knowingly false notices may incur liability.

16. Term & Termination

These Terms remain in effect while you use the Services. We may, in our sole discretion, suspend or terminate your access (including blocking IPs) for any breach or misuse. Upon termination, your right to use the Services ceases immediately. You may not register a new account without permission.

17. Modifications & Interruptions

We may change or discontinue the Services (or any part) at any time without liability. We strive for high availability but do not guarantee the Site will be uninterrupted or error-free.

18. Governing Law; Venue

These Terms are governed by the laws of the State of Delaware, excluding its conflicts rules and excluding the U.N. CISG. The parties consent to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California, for permitted court actions.

19. Dispute Resolution; Arbitration

The parties will first attempt to resolve disputes informally in good faith. If unresolved within 90 days, any dispute arising from these Terms shall be finally settled by binding arbitration in San Francisco, California, administered by the AAA under its Commercial Rules. The arbitration will be confidential before a single arbitrator experienced in online services. The award shall be written and reasoned, and may include costs and reasonable attorneys’ fees. Either party may seek injunctive or equitable relief in court pending arbitration.

20. Corrections

Information on the Site may contain errors or omissions. We may correct or update information without prior notice.

21. Disclaimer

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, C U F L O W DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted, secure, or error-free operation.

22. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, C U F L O W AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION). In all cases, CuFlow’s aggregate liability shall not exceed the amounts you paid to CuFlow for the Services in the twelve (12) months preceding the claim. Some jurisdictions do not allow certain limitations; some rights may not be affected.

23. Indemnification

You agree to defend, indemnify, and hold harmless CuFlow and its affiliates, officers, employees, agents, and partners from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from your Contributions, use of the Services, breach of these Terms, or violation of third-party rights.

24. User Data

We may maintain data you transmit to the Site for performance and operational purposes. You are responsible for backing up your data. We are not liable for loss or corruption of data.

25. Electronic Communications & Signatures

You consent to receive communications electronically and agree that electronic signatures and records satisfy legal requirements.

26. California Users

27. Miscellaneous

These Terms (and any policies referenced) constitute the entire agreement between you and CuFlow. Failure to enforce a provision is not a waiver. If any provision is unenforceable, the remainder remains in effect. We may assign our rights and obligations. No joint venture, partnership, or agency relationship is created by these Terms.
